On November 4, 2024, ISS Governance (ISS) announced the scheduled November 11, 2024, opening of its peer group submission window for U.S. and Canadian corporations with annual meetings slated to be held between February 1, 2025, and September 15, 2025, and for European corporations with meetings slated to be held between February 1, 2025, and January 31, 2026. The peer group submission window will open at 9:00 a.m. ET on Monday, November 11, 2024, and will close at 8:00 p.m. ET on Friday, November 22, 2024.
As a reminder, each proxy season, ISS constructs peer groups that are used to analyze companies’ executive pay and related matters. These peer groups are constructed before new proxy statement disclosures are available, and thus are generally based on the company-selected peers in the prior year’s proxy statement. However, those companies that have changed, or anticipate changing, their peer group from their prior year’s proxy statement, may want to consider informing ISS of these changes during this open window. Similar to ISS, Glass Lewis also reviews peer groups when analyzing executive pay, and invites public companies to submit changes or anticipated changes to their self-disclosed peer groups during open submission windows. As of the date of this post, Glass Lewis’s peer group submission window is closed; however, based on its website, Glass Lewis anticipates opening the peer group submission window in late Q4 2024.
