On March 6, 2024, the U.S. Securities and Exchange Commission (SEC) voted to adopt final rules requiring disclosure of climate-related information in registration statements and annual reports, by both domestic registrants and foreign private issuers. The final rules are comprehensive, detailed, and intended to encourage consistent comparable, and reliable disclosure of climate-related information.

In our SEC Climate Disclosures webinar on March 27, 2024, Wilson Sonsini partners Amanda Urquiza, Richard Blake, and Tamara Brightwell provided an overview of the final rules, and also discussed the legal challenges to the final rules, including the consolidation of the various challenges in the U.S. Court of Appeals for the Eighth Circuit and the subsequent motions for a stay of the final rules, the disclosure compliance dates, and practical tips as companies work to prepare for these climate disclosures while also keeping an eye on the legal challenges, and navigating the California climate disclosure rules and the EU Corporate Sustainability Reporting Directive, if applicable. The recording of this webinar is now available here.
